MediaFox Digital Marketing Agency

Welcome to MediaFox Digital Marketing Agency. These Terms and Conditions ("Terms") govern your
use of our services. By engaging with MediaFox, you agree to comply with and be bound by these Terms. Please
read them carefully.
1. Definitions
- "Agency" refers to MediaFox Digital Marketing Agency.
- "Client" refers to any individual or business entity that enters into an agreement with
the Agency.
- "Services" refers to digital marketing services offered by the Agency, including SEO,
PPC, SMM, content creation, and web development.
2. Service Agreement
The Agency agrees to provide the Services as outlined in the signed service agreement. The
Client agrees to provide all necessary information and access required for the Agency to perform the
Services.
3. Inbounding Process
There can be several scenarios where you might be reaching out to us:
- You are an existing MediaFox service subscriber adding a new service.
- You used to be a customer and are now returning.
- You are a new customer.
- Your previous business is already a client, and you want to introduce your new business.
3.1 Existing Subscriber Adding a New Service
Any new service requested will always be considered a separate service. Payments, retention, and
deliverables will not be combined.
3.2 Returning Customer
- Clients must review updated proposals and pricing.
- We do not store login details or assets beyond one week after service termination.
- A new or old team may be assigned at the agency’s discretion.
- Previous pending bills must be cleared.
3.3 New Customer
Clients must agree to the terms, share all required documents, and ensure onboarding steps
(proposal, invoice, WhatsApp group access) are completed.
3.4 Adding a New Business
- Each business is treated as a separate project.
- New invoices will be issued.
- Team assignment depends on availability.
4. Payment & Adjustment
Full payment in advance is required to ensure expert availability and resource
allocation.
4.1 Late Payment
Late payments may result in penalties or temporary/permanent suspension of services.
4.2 Termination by Agency
If MediaFox terminates the service, refunds (if applicable) will be processed within 15–30 days.
4.3 Refund & Adjustment Policy
Refunds or service adjustments are not provided due to resource commitment and
opportunity cost.
4.4 Retention Payment Period
- Minimum 3-month commitment.
- Trial users must confirm continuation within 7 days.
- Service fees may increase 20–35% every 6–8 months.
4.5 Additional Costs
Clients are responsible for third-party expenses including software, ad spend, plugins, CRMs,
etc.
5. Scope of Work
5.1 Project Objectives
Objectives are clearly defined in the proposal document.
5.2 Deliverables
- Creative deliverables (images, videos, graphics) are part of monthly services and non-refundable.
- Website and development deliverables may require additional time; up to 1 extra month if needed.
- Adjustments may be offered but do not include code or theme changes.
5.3 Timeline
In case of delays, MediaFox offers an additional 5% service value at no extra cost. Refunds are
not provided.
5.4 Resources
Some resources (themes, plugins, paid apps, external tools) may require additional costs.
5.5 Budget
Third-party price changes are not the responsibility of MediaFox.
6. Roles & Responsibilities
6.1 Client Responsibilities
- Approve all content before publishing.
- Provide required access, assets, images, content, videos, etc.
- Client delays are not the responsibility of MediaFox.
6.2 Agency Responsibilities
- Deliver promised services.
- Promote and enhance brand awareness.
- Right to refuse service due to overdue payments or inappropriate behavior.
7. Quality Assurance
MediaFox provides high-quality service but does not guarantee business results, sales, or
performance outcomes.
8. Risk Management
8.1 Agency Risk
- Not liable for copyright issues, customer disputes, tax issues, product returns, or business losses.
- Not responsible for ad performance, incorrect content, or marketplace actions.
8.2 Client Risk
- Client is responsible for their own business profits/losses.
- Client covers all performance marketing expenses.
9. Changes
9.1 Campaign Changes
Campaigns cannot be changed until after 4 weeks of launch. Creative edits only before
publishing.
9.2 Creative Changes
Non-creative services allow a maximum of 3 changes; extra changes incur additional charges.
9.3 Website Changes
- 8-week support provided after website delivery (excluding coding changes).
- Published graphics cannot be altered; new changes require charges.
- Theme/platform cannot be changed once development begins.
10. Marketing Budget
Any mid-cycle changes in marketing budget may impact campaign performance. MediaFox is not
responsible for changes in results caused by such shifts.
11. Terms & Conditions Updates
MediaFox updates its working terms regularly. By agreeing to these terms, you allow MediaFox to
update them and notify you via email without requiring additional approval.
