Terms and Conditions for MediaFox Digital Marketing Agency

Welcome to MediaFox Digital Marketing Agency. These Terms and Conditions (“Terms”) govern your use of our services. By engaging with MediaFox, you agree to comply with and be bound by these Terms. Please read them carefully.

## 1. Definitions

– **”Agency”** refers to MediaFox Digital Marketing Agency.

– **”Client”** refers to any individual or business entity that enters into an agreement with the Agency.

– **”Services”** refers to digital marketing services offered by the Agency, including but not limited to SEO, PPC, social media marketing, content creation, and web development.

Service Agreement

The Agency agrees to provide the Services as outlined in the service agreement signed by both parties. The Client agrees to provide all necessary information and access required for the Agency to perform the Services.

Inbounding process

There can be several scenarios where you might be reaching out to us:

  • You must an existing Mediafox service subscriber adding a new service.
  • You used to be a customer and are now returning after a period of time.
  • You are a new customer interested in our agency’s services.
  • Your previous business is already a client, and you want to introduce your new business to us.

These are individual cases for MediaFox and should be treated separately.

1 You are an existing Mediafox service subscriber adding a new service.

  • In the case that one of our customers wants to add some new service, it will always be considered as a new service and separate in our case. Add-ons won’t be included unless specified in the proposal.
  • From the beginning date, payment and retention will be handled separately. There will be no combining of payments for any service, even if they commence on the same date within a month.

2 You used to be a customer and are now returning after a period of time.

  • It is the client’s responsibility to review any updates in the proposed amount from the previous one and to check if any new terms of work have been introduced.
  • The agency does not retain your data beyond a week after the termination of services, including passwords, login details, images, brand assets (such as logos), and content. Therefore, if it exceeds a week, you will need to provide all the necessary information again.
  • Upon returning after a period of time, whether short or long, there is a possibility that the agency may assign a new team to your project or retain the previous one. The decision on this matter rests solely with the agency.
  • Before proceeding, clients should settle any outstanding bills from previous transactions.

3 You are a new customer interested in our agency’s services.

  • If you are a new customer at our agency, please provide the necessary details listed below:
  • Once you have read and agreed to all the terms and conditions, it confirms your willingness to work with us.
  • It is the client’s responsibility to ensure that all required documents for new onboarding, such as proposals, invoices, terms of working, access to WhatsApp group, and confirmation of completed onboarding, are in place.

4 Your previous business is already a client, and you want to introduce your new business to us.

  • The agency will ensure that this project and the new brand are always treated separately in terms of deliverables, work retention, work quality, and other aspects.
  • We create new invoices and billing for various brands and businesses.
  • It is the client’s responsibility to review the proposed amount for a new project, whether they have received the same service for their previous brand or business.
  • It’s not always possible to assign the same team members to two different brands owned by the same brand owner due to the unavailability of specific team members.

Payment & Adjustment

The Client agrees to pay the fees specified in the service agreement.

  • Payment:

Providing top-notch resources and timely service delivery to our clients is crucial. This requires the prompt availability of experts and resources, as well as periodic team expansion. That’s why we request full payment in advance to ensure the best service for you.

  • Late Payment Policy:

Clearly outline the consequences of late payments, including any additional fees or penalties that may apply, Additionally, a late payment can result in temporary or permanent termination of your service.

  • Termination of Service at Agency end:

If a termination is announced during a project by Mediafox only, the remaining amount, as outlined in the service termination policy, will be refunded within 15-30 days after the termination.

  • Refund and Adjustment Policy:

We always strive to offer the best services for you. Occasionally, this may result in us having to forego new hires or decline potential new clients due to time constraints. Therefore, we are unable to issue refunds for payments or adjust any pending services to new ones.

  • Retention Payment Period:

Mediafox always aims to achieve excellent results and enhance brand visibility. To ensure this, we do not offer monthly services or charges, opting for a minimum commitment of three months. If you are on a one-month paid trial, you must decide to continue our services within seven days of its completion. Otherwise, Mediafox will automatically pause the services by the 10th day after the retention period begins.

We are considering increasing our service fees from the previous rates. This adjustment is planned to occur every 6-8 months. The service charges may rise between 20% to 35% based on market fluctuations.

  • Additional Costs:

The Client is responsible for any additional costs incurred during the provision of the Services, including but not limited to third-party service fees, software subscriptions, and advertising budgets.

Scope of Work

The scope of work outlines the tasks, deliverables, and responsibilities required to complete the project successfully. It servers, ensuring everyone is aligned and aware of what needs to be accomplished. Key components of the scope of work includes: as a roadmap for the project team and stake hold.

  • Project Objectives:

Project Objective at Mediafox end is always clearly mention in provided proposal document itself.

  • Deliverables:
    • Deliverables such as images, videos, graphics, gifs, and more are open to personal imagination and creativity. At Mediafox, we always strive to provide the best possible outcomes. These deliverables are part of our monthly services package (3-month Package), and adjustments or refunds are not available for them. We ensure that all content is approved before publication.
    • Deliverables are items such as websites, software, functionality, and landing pages, which are delivered once and only for the specified requirements. Even though we work hard to provide such within the timeframe, development and execution may require more time in some cases. Mediafox may need up to one month beyond promised delivery date. If satisfaction is not reached with the results, there is an opportunity given for some adjustments regarding the project—this excludes feature change, theme modification, or any advanced/fundamental code changes.
  • Timeline:

Mediafox always ensures timely delivery; still there can be a chance of delay or advance. In case it is not possible for any reason whatsoever to stick to the committed timeline, we just ensure that you would appreciate it and be given free of cost extra 5% off any services you may choose from Mediafox. Kindly note: We do not take responsibility for refunds, return of amounts, and payment reduction or adjustment.

  • Resources: Mediafox is accountable for providing certain resources to be used in any service.
    • Mediafox consistently emphasizes that this service incorporates specific resources that may involve additional costs, including but not limited to website themes, paid plugins, third-party services, and social media management platforms other than Meta.
  • Budget:
    • Mediafox is a service provider, guaranteeing that our prices, costs, fees, and charges will remain consistent throughout the project timeline. However, please note that Mediafox is not responsible for any price increases or changes imposed by third parties before, during, or after project completion.
  • Roles and Responsibilities:

The term “Client” refers specifically to a company or individual, while “agency” pertains solely to Mediafox or its subsidiaries.

  • Client Role and Responsibilities :-
    • In any project or service offered by an agency like Mediafox, clients must always review and approve the content or deliverables before they are published.
    • Additionally, clients need to provide necessary data promptly, including but not limited to raw images, content, login access for specific platforms, videos, and more.
    • If this leads to any delay, the agency will be not responsible for any resulting circumstances.
  • Agency Role and Responsibilities:
    • The agency’s role involves developing the business or brand name.
    • The agency is responsible for providing the promised services mentioned in the proposal.
    • The agency is responsible for raising awareness among the audience for the client’s business or brand, if necessary within the services provided.
    • These responsibilities should be clearly outlined in the scope of work proposal document provided at the beginning of the engagement.
    • The agency reserves the right to refuse service or discontinue a service feature in the event of overdue payments, miscommunication, or any inappropriate behavior towards the agency or team members. All terms and conditions regarding payment and refunds will be applicable in such cases.
  • Quality Assurance:

Mediafox always aims to provide top-notch content, development, or any service with the highest quality. However, while good quality is crucial, it does not guarantee 100% success in any aspect.

  • Mediafox never guarantees that only our service can help you grow your business. We strive to showcase our services in the best possible way for the development of your business.

The term “risk” encompasses various factors such as time, resources, and money. Additionally, the reference to “Client” specifically pertains to Business or any Individual who engaged with Mediafox Service.

  • Agency Risk Management :-
    • Mediafox Digital Marketing Agency serves as a service provider for various businesses. Therefore, Mediafox is not liable for any copyright infringement, defamation cases, customer claims, customer rights violations, tax obligations, dues to third parties, or any issues arising from business activities, including services provided by Mediafox.
    • Mediafox will not be held responsible for incorrect content postings, client business losses resulting from fixed operating costs, false discount claims, fake returns by buyers of client products, or expenses incurred on performance marketing for business/brand awareness, sales, leads, engagement, and other purposes.
    • Mediafox consistently guarantees, in written form, to offer discounts on client business services or products. This will never be done without a pre-approval process.
    • Mediafox always receives written tasks to promote or list new collections or individual products on any client platform.
  • Client Risk Management :-
    • In business operations, clients experience both losses and profits during different periods, and any losses incurred are solely the responsibility of the client.
    • The client is accountable for all expenses related to performance marketing, including running advertisements for their business needs.
    • Clients can request an invoice for these expenses from Mediafox at the end of each month. If the client pays the specified amount to the agency for management and expenditure, the billing details will be maintained under the agency’s records.
    • The client will assume all risks associated with investment or loan repayment.

By adhering to the scope of work, the project team can maintain focus, manage resources effectively, and achieve the desired outcomes within the specified timeframe and budget.

CHANGES

Campaign :-

  • Campaign ads are a vital component of our marketing strategy, which was presented to you at the beginning of the month or project. Essentially, we are unable to make any alterations to it until four weeks after the launch.
  • Creative changes are only considered before publishing ads. If a client requests changes after the ad has gone live, they will be counted separately

Creative :-

  • If your service falls under media management or social media marketing, our goal is to consistently deliver complete satisfaction with no limitations in creativity, branding, and marketing perspectives..
  • Services that do not involve creative development are subject to a strict policy of requiring 100% references and a maximum of 3 changes. Any additional changes beyond this limit will incur extra costs.

Website :-

  • When embarking on a new website development project, we always allocate a specific timeframe for finalizing the website, whether during or after the development process.
  • Upon delivering the final website, we offer an 8-week after-sales service period, during which we accommodate certain website alterations, excluding any coding or functionality changes.
  • Graphics provided by Mediafox cannot be altered once finalized by the client and published on the website. Any new changes will incur separate charges.
  • The client cannot make changes to the pre-discussed website theme once development has begun.
  • The development platform cannot be changed mid-project. If the client requests a change at the beginning, it may incur additional charges.

Marketing Budget :-

  • If the client changes the marketing budget in the middle of the four-week session, sudden campaign performance changes will definitely occur, in case either the budget increases or decreases. Be noted that Mediafox is not responsible for any sudden results happening while there is such a shift.
